TERMS AND CONDITIONS

The Website and the Platform are owned and administrated by Your Own Revolution Ltd (hereinafter referred to as “HirerPro”, “us” and “we”), with headquarters in Av. du Port 8, 1080 Brussels.

These Terms and Conditions (hereinafter referred to as the "Agreement") constitute a legal agreement between the Visitors of the Website and Users of the Platform (hereinafter referred to as "you", “your”), and Your Own Revolution Ltd.

This Agreement governs the use of the Website, the Platform and the Services. Please read this Agreement carefully before browsing the Website or using the Platform and/or the Services, as they contain important information regarding your legal rights and obligations under which you are allowed to access or use the Website, the Platform and the Services. Also, please ensure to check regularly for updates to this Agreement. Your use of the Website, the Platform and the Services indicates that you agree to the terms outlined in this Agreement and to any updates that might be made to this Agreement. If you do not agree with any of these terms, please do not access the Website and do not use the Platform or any of the Services. 

If you are registering on the Platform on behalf of an organization, you are consenting with this Agreement for that organization and pledging that you are entitled, on behalf of that organization, to hereby accept on the terms and conditions presented below. For this case, “you” and “your” will also refer to that organization.

You must be over 16 years of age to use the Services. The Services and content are not intended for children or teenagers under the age of 16. We do not want nor is it our intention to solicit and knowingly collect personal information for this type of audience. If you are below the age of 16 you cannot use the Services. 

DEFINITIONS

The following words and expressions shall have the meanings hereby assigned to them, unless hereinafter otherwise stated:

  • “User” means the natural person that uses the Platform on his/her behalf or on behalf of an organization;
  • “Visitor” means any natural person that is browsing the Website;
  • “Agreement” means these Terms and Conditions;
  • “Stakeholders” means the Hiring Organization, the Recruitment Agency, the Individual Recruiter and the Talent;
  • “Website” means www.hirerpro.com;
  • “Services” means the services provided through the Platform;
  • “Platform” means the technological platform developed by Your Own Revolution Ltd. that can be accessed from the Website;
  • “Hiring Organization” means the organization that is looking to hire a Talent;
  • “Recruitment Agency” and “Individual Recruiters” mean the intermediary between the Hiring Organization and the Talent;
  • “Talent” means the job applicant.

For the purpose of this Agreement, the definitions of capitalized terms that appear in these terms are defined as put in quotation marks throughout this entire document.

GENERAL DESCRIPTION OF THE WEBSITE AND PLATFORM

The Website allows access to the Platform which federates the ICT contingent staffing industry by connecting and empowering all stakeholders, fostering collaboration, transparency, informed decision-making, and due diligence.

The Website and the Platform are made available by HirerPro.

REPRESENTATIONS AND WARRANTIES

The use of the Website, respectively the execution of contracting or the provision of an intelligent & agile talent supplier management through the Platform and the Services, requires the legal capacity required to bind contractual relationships. This constitutes a declaration by the Visitor and User regarding the fulfillment of the following conditions: (i) reaching the age of 16 for natural persons; (ii) the absence of circumstances affecting legal capacity; (iii) full acceptance of the provisions of this Agreement. If any of these conditions are not met, any person must immediately stop using the Website, the Platform and the Services.

This Agreement is a contract that sets forth the legally binding terms of the relationship between HirerPro and you. By using the Website and the Platform in connection with the Services available on it, you represent that (i) you have fully read and understood the Agreement and agree to be bound by this Agreement; and (ii) you have the authority to enter into this Agreement personally or on behalf of the company or entity you have named as a User and to assume the obligations imposed by these provisions or to assume them on behalf of the person or entity you legally represent.

All the sections of these terms and the related documents are integral part of the Agreement. The terms of this Agreement apply to all sections of the Website and functionalities of the Platform. In the event of a conflict between any provision of this Agreement and a provision of a HirerPro Policy, this Agreement shall prevail over.

Accessing, viewing and/or using the Website, the Platform and/or the Services by any person or entity qualifies, automatically and without any other formality, the respective person or entity as a Visitor or User within the meaning of this Agreement and imposes the obligation to comply with the provisions set forth in this Agreement, as well as with the laws and regulations applicable in Belgium. The refusal to be a Visitor or a User within the meaning of this Agreement obliges the immediate termination of accessing, viewing or using the Website, the Platform or the Services.

The provisions of this Agreement, respectively the terms and conditions, may be updated and/or revised periodically, so that, for any use of the Website, the Platform and/or the Services, the contractual provisions valid at the time of use shall apply. The Visitors and Users have the obligation to permanently check the provisions of this Agreement at each use, supply and/or contract of the Services available through the Platform or of the Website. The use of the Website, the Platform and the Service after accessing them, even in the case of the Visitor’s or User's omission to analyze the conditions of use, represents the Visitor’s or User's agreement to accept these contractual conditions. Your continued use of the Website, the Platform and/or the Services after any changes to the provisions of the Agreement will constitute your agreement with such changes. HirerPro undertakes no obligation to notify Visitors and/or Users of any changes to this Agreement or on the creation or modification of any additional terms.

Subject to your compliance with the terms and conditions of this Agreement, HirerPro grants you a limited, non-sublicensable, revocable and non-transferable right to access and use the Website, the Platform and the Services. This limited right allows you to access and use any content, information and related materials that may be made available through the Website, the Platform and the Services. Any rights not expressly granted in this Agreement are reserved to HirerPro.

If not explicitly provided otherwise by a separate written act, HirerPro reserves the right to deny you access to the Website, the Platform and the Services, and to any service accessible through the Website or Platform at any time.

OWNERSHIP AND INTELLECTUAL PROPERTY

HirerPro hereby warrants that the Website, the Platform and the Services to be provided under this Agreement and their use for the purpose indicated by or reasonably inferred herein, do not infringe any patents, copyright, or other similar industrial, commercial or intellectual property right.

The Website and the Platform are our property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Website and Platform (collectively, the “Content”), and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us and are protected by copyright and trademark laws. The Content and the Marks are provided on the Website and the Platform “AS IS” for your information and personal use only. Except as expressly provided in this Agreement, no part of the Website or the Platform and no Content or Marks may be copied, reproduced, decompiled, reverse engineered, disassembled or otherwise reduced it to a human-readable form, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, rented, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. 

SERVICES PROVIDED UNDER THE AGREEMENT

Subject of the terms and conditions set forth in this Agreement, through its Website, HirerPro offers a Platform designed for intelligent and agile talent supplier management which:

  • provides access to hard-to-find ICT talents in hours — not weeks or months;
  • optimizes the Recruitment Process & Supplier Management;
  • helps in finding top ICT talent quickly at the best price;
  • allows to access the exact data needed to mitigate recruitment risks;
  • allows to empower hiring managers.

Registration to any User of the Platform, either free or paid, will give you access to all the features and functionalities as outlined in the details below. We reserve the right to make changes to the Platform or Services at any time without any prior information to users. However, users might receive information about any significant changes. Any modifications and new features added to the Service are also subject to this Agreement.

HirerPro provides the Services through an automatic and complete sequence of steps that a User takes when interacting through remote technological means with the Platform, in order to create an account on the Platform.

The Platform brings together Hiring Organizations, Recruitment Suppliers and Talents in one digital ecosystem. You are not allowed to register for multiple types of accounts within the Platform.

V.1. Owning a Hiring Organization account on the Platform enables you to:

  • dynamically distribute jobs to the most capable, proven, and qualified talent suppliers based on specialization & past performance;
  • specify the fees you’re willing to pay for each successful hire while leveraging the cost-competitive pricing of our supplier crowd;
  • access hyper-specialized and local ICT recruiters across Europe to reach curated talent pools and connect with niche ICT community.

When creating a Hiring Organization account, you need to register and verify your account to increase your reputation and reliability for other Stakeholders, and help us to determine the validity and ownership of the registration data.

Once the account is created and verified, the following functionalities are available through the Platform:

  • Manage your account through the admin user and onboard the hiring managers providing restricted access to the Platform;
  • Acquire credit to use most of the functionalities within the Platform;
  • Market reputation established by the reviews you have acquired from other Stakeholders;
  • Hiring performance based on the number of CVs received, interviews held, hired and declined Talents;
  • Statistics on times to hire, jobs opened, jobs closed, jobs staffed and talents hired;
  • Post a job by providing recruitment details, job description and skills, job offer and details, commission percentage for Recruitment Supplier, job exclusivity either private (based on invitation only to the suggested Recruitment Suppliers by the Platform) or public (Recruitment Suppliers can apply to the posted job). Only after accepting the invitation, the Recruitment Supplier becomes a supplier on that job only and may start submitting Talents;
  • Hiring hub containing all the jobs that you have created, the approved Recruitment Suppliers and the presented Talents. You have the option either to accept or decline a Talent and schedule an interview with the Talent through the Recruitment Supplier;
  • Provide reviews for Recruitment Suppliers you worked with;
  • Onboard your current preferred recruitment suppliers from outside of the Platforms and continue your current ongoing collaboration;
  • Access to the Recruitment Suppliers database (preferred recruiters/blocked recruiters);
  • Transmission of communications between you and other Stakeholders, depending on your choice.

V.2. Owning a Recruitment Supplier account on the Platform enables you to:

  • build a publicly available profile, SEO optimized and referenced on Google to grow your reputation and generate leads;
  • match with Hiring Organizations so you can receive exclusive leads;
  • create new commission streams by putting your passive talent directly in front of top hiring organizations in Europe;
  • own the representation exclusivity of the Talents.

a. When creating an account, as an Individual Recruiter, you need to register using your LinkedIn profile to prevent duplications and double users accounts under the same person (e.g., having both Individual Recruiter and Talent accounts).

Following the verification of your account performed to increase your reputation and reliability for other Stakeholders, and help us to determine the validity and ownership of the registration data, you will receive a badge. Only after you receive the badge you can see all the leads and unlock access to all facilities, some of which may still require payment.

Once the account is created and verified, the following functionalities are available through the Platform:

  • Manage your account;
  • Acquire credit to use most of the functionalities within the Platform;
  • Market reputation established by the reviews you have received from other Stakeholders;
  • Associate with a Recruitment Agency;
  • Pipeline based on the number of open jobs you are working on;
  • Statistics on submissions to interview, interviews to hire and submissions to hire;
  • Average reward;
  • Performance based on submission per job, submission time, total jobs staffed and total candidates submitted;
  • Talent pool which allows you to manually upload a profile or a CV to show the available Talents that you represent;
  • Jobs pool which allows you to manually add jobs that you have access to whether from the Platform or outside of it;
  • Accepting an invitation received from a Hiring Organization or applying to a posted job;
  • Send an invitation to a Talent for a job offer;
  • Submit talents;
  • Access to analytics and approved Recruitment Supplier for a certain job;
  • Recruitment hub containing information related to jobs, candidates and offers;
  • Access to the data base of Talents;
  • Transmission of communications between you and other Stakeholders, depending on your choice.

b. When creating a Recruitment Supplier account, as a Recruitment Agency, you need to register and verify your account to increase your reputation and reliability for other stakeholders, and help us to determine the validity and ownership of the registration data.

Once the account is created and verified, the following functionalities are available through the Platform:

  • Manage your account;
  • Acquire credit to use most of the functionalities within the Platform;
  • Market reputation established by the reviews you have received from other Stakeholders;
  • Present your Recruitment Team.

Each member of your recruitment team will own an Individual Recruiter account linked to your Recruitment Agency account and will have access to the functionalities described in section V.2.a above.

V.3 Owning a Talent account on the Platform enables you to:

  • always know who you’re working with;
  • stay in control of the application process;
  • bring all your recruiters into one centralized experience;
  • have control over profile display and communication.

When creating a Talent account, you need to register using your LinkedIn profile to prevent duplications and double users accounts under the same person (e.g., having both Individual Recruiter and Talent accounts).

Once the account is created and verified, the following functionalities are available through the Platform:

  • Manage your account;
  • Access to Individual Recruiters data base;
  • Profile display which allows you to choose who can see your profile;
  • Block Individual Recruiters;
  • Provide reviews for Individual Recruiters you worked with;
  • Access to the Job Board containing the list of jobs from all Individual Recruiters;
  • Access to the Activity Center which provides information related to the number of rights to represent, applications and offers;
  • Accept or decline an invitation for a job offer after reviewing the information contained in the invitation;
  • Centralize accepted applications;
  • Transmission of communications between you and other Stakeholders, depending on your choice.

AVAILABILITY AND SECURITY OF SERVICES

We are committed to make the Website and the Platform a highly available service for you to rely upon. However, you acknowledge that it is not possible for us to completely guarantee the provision or availability of the Services or that the Website and the Platform will always be available and uninterrupted. You also acknowledge that the Website, the Platform and the Services are run over the internet and that the internet is generally an insecure public network, which means that there are inherent risks thereof.

We will employ credible efforts to guarantee the security and integrity of all Users’ data and that the Website, the Platform and the Services are available 24 hours a day, 7 days a week. Upgrades, maintenances, emergency repairs, and telecommunication failures may prohibit the availability of the Website, the Platform and the Services. You agree that we are not going to be responsible for any incident that may happen to you or any other party for any discontinuance, suspension, amendment, or lack of availability of the Website, the Platform and the Services.

We will take all possible steps to maintain the Service running. Specifically, we:

  • take reasonable steps to ensure that the Website, the Platform and the Services are secure from unauthorized access by implementing administrative, physical and technical safeguards to protect your data in ways that are no less rigorous than accepted industry standards and security best practices;
  • meet GDPR obligations in relation to processing data in a transparent manner, limiting the processing on what is needed, minimizing the data collected, keeping the data accurate and for limited period of time, and securing the integrity and confidentiality;
  • will immediately notify as soon as we become aware of any virus, malware, unauthorized access, or other harmful code that affects our Website, the Platform and the Services, and we’ll take all reasonable steps to tackle the problem, secure your content, remove the harmful code, as applicable, and take proactive steps to prevent future occurrences.

You will make sure that your internet enabled device and telecommunications systems carry the appropriate anti-virus software necessary to minimize the risk of any harmful viruses infecting your internet enabled device. For the avoidance of doubt, HirerPro shall not be responsible for any security issues that you face as a result of connecting to the Website via an unsecured network.

Access to the Website, Platform and Services is permitted on a temporary and “AS IS” basis. We may suspend, withdraw, discontinue or change all or any part of the Services without notice. We will not be liable to you if for any reason the Website, the Platform and the Services are unavailable at any time or for any period.

OBLIGATIONS BETWEEN STAKEHOLDERS

The relationship between Stakeholders is described below and their obligations and responsibilities apply as such. The content of the Platform, including any functionalities thereof and the access interface to any of the services provided by other Stakeholders through it, may be used only in accordance with the conditions and terms of access and use specified in this Agreement.

Hiring Organization and Recruitment Supplier: The relationship between the parties starts at the moment of acceptance by the Recruitment Supplier of the invitation sent by the Hiring Organization or at the moment the Hiring Organization accepts Recruitment Supplier’s application to supply Talents to a posted job. From this moment on, the Recruitment Supplier can start submitting Talents to the posted job. If the Hiring Organization decides to set an interview, an interview request is sent to the Recruitment Supplier and the Recruitment Supplier will organize the interview with the Talent. When the Hiring Organization decides to hire the Talent, a request to hire is sent both to the Talend and the Recruitment Supplier. Upon acceptance of hiring request by both the Recruitment Supplier and Talent, HirerPro sends a summary of the job offer by email to the Hiring Organization, stating the details of the agreement with the email address of the Recruitment Supplier for them to formally settle contractually outside of the Platform. If the Hiring Organization rejects a Talent, that Hiring Organization shall not hire the Talent submitted by the Recruitment Supplier for a period of 12 (twelve) months from the submission date.

Recruitment Supplier and Talent: Recruitment Supplier adds the Talent to the Talent Pool only after obtaining the Talent’s explicit consent for this action. The Recruitment Supplier identifies job openings that may fit a Talent from the talent pool and will contact that Talent to discuss the opportunity and the Talent’s availability. After reaching an agreement with the Talent, the Recruitment Supplier will send the Talent a request for representation. If the Talent accepts by giving consent, the Talent agrees that the Recruitment Supplier shall be the sole representer of the Talent for a period of 12 (twelve) months for a job posted by a Hiring Organization. Once the Talent accepts to be represented by a Recruitment Supplier for a job posted by a specific Hiring Organization, the Talent shall not accept any other representation, either direct or indirect, from a different Recruitment Supplier for the same job posted by that specific Hiring Organization and is liable towards the Recruitment Supplier that received the consent for representation.

Talent and Hiring Organization: Talent cannot connect directly with the Hiring Organization. Talent shall be represented by an approved Recruitment Supplier that will manage the recruitment process with the Hiring Organization.

YOUR OBLIGATIONS

When registering for an account, you will be required to provide an email and choose a password for your account. You are entirely responsible for the security and confidentiality of your email and password, and agree not to share these details with any person who is not authorized to use your account. You also agree to promptly notify us of any unauthorized use of your username, password, other account information, or any other breach of security that you become aware of involving or relating to the Platform or the Services. In addition, you agree to log out from your account at the end of each session.

You are also required to register for an account by using your LinkedIn account. In this regard, you acknowledge and accept that we may access, collect and use certain personal information from your LinkedIn account, such as first name, last name, LinkedIn profile link and email address.

The User's registration and the authorization of the account may be delayed or refused when the necessary information requested is not provided, as well as when the User has a situation that generates a conflict-of-interest incompatible with the Agreement, the Services, the security of the Website and the Platform, or the activity of HirerPro and/or any entity associated with it.

HirerPro is not responsible for any damage or effect that may be caused by the declaration or incorrect completion by the Users of the data they provide.

The User is responsible for all activities that occur within his/her account and agrees to always maintain the security and secrecy of his/her account username and password. Unless otherwise permitted by HirerPro in writing, you may have only one account registered with the Platform. As a User, you may not authorize third parties to use your Account.

It is mandatory for you to provide reviews to other type of Users within the Platform, when the case, for Service quality and Platform improvements.

You may not assign or otherwise transfer your account to any other person or entity.

You agree to comply with all applicable regulations when using the Website and the Platform, and when contracting the Services.

The User is solely responsible for obtaining internet access to visit and use the Website, the Platform and the Services. Rates and charges may apply for data used over your mobile or landline network when you visit and use the Website, the Platform and the Services from your device. You are solely responsible for these rates and charges.

The User is solely responsible for purchasing, using and updating a device compatible with the Website, the Platform and the Services to access and use them. HirerPro does not warrant or represent that the Website, the Platform and the Services or any part thereof will function on any particular device or that it is compatible with any device, program or equipment.

The user is warned that the Website, the Platform and the Services may be affected by certain malfunctions and/or delays inherent in the use of the Internet and/or electronic communications for which HirerPro assumes no responsibility.

HirerPro can block access to the Website, the Platform and the Services if there are indications of fraud or when the regulations in force, the terms and conditions of use of the Website, the Platform and the Services or other provisions or obligations of the User are not respected. To avoid any confusion, HirerPro may transfer, suspend, block, close and/or delete a User's account when that User no longer meets the conditions for using the account and/or when they no longer have the right to use the account for any reason, or when an authority or a body with specific powers orders the transfer, suspension, blocking, closure and/or deletion of the account.

Users are solely responsible for: (i) the compatibility and appropriate equipment of the devices used to access and use the Website, the Platform and the Services; (ii) the proper operation from a technical point of view of the devices used to access and use the Website, the Platform and the Services; and (iii) ensuring the Internet connection and the power supply of the devices used to access and use the Website, the Platform and the Services.

The provision of the Services to the Users is made for a fee, under the conditions specified within the Website or the Platform or under the conditions separately agreed in writing and explicitly by the Users with HirerPro. The provision and contracting of the Services are done in compliance with the regulations in force applicable in Belgium, which the User declares to accept.

The User contracts services for himself/herself or for persons whose legal representative is the User. It is forbidden to contract services for other people or for the purpose of intermediation free of charge or not. All users have the obligation to use only real data and information.

USE LIMITS AND RESTRICTIONS

To the extent the Website, the Platform and the Services enable you to submit, post, or indirectly author any information, documents, preferences, texts, briefs, drafts, images, materials, samples of work or other content (hereinafter “User Content”), your use of such content is governed by this Agreement.

By using the Website, the Platform and the Services, you agree that you will not submit, upload or write any User Content that:

  • is false, inaccurate, or misleading;
  • is defamatory, abusive, harassing, threatening, or an invasion of a privacy right of another person;
  • is bigoted, hateful, or racially or otherwise offensive;
  • is violent, vulgar, obscene, pornographic, or otherwise sexually explicit, or harms or can reasonably be expected to harm any person or entity;
  • is illegal or encourages or advocates illegal activity or the discussion of illegal activities with the intent to commit them, including content that is, or represents an attempt of harassment, theft, or conspiracy to commit any criminal activity;
  • infringes or violates any right of a third party including right of privacy (specifically, you must not distribute another person's personal information of any kind without their permission) or publicity or any confidentiality obligation;
  • solicits personal information from any child or adolescent or exploits people under the age of 18 in a sexual or violent manner;
  • violates applicable laws concerning child pornography, or otherwise intended to protect the health or well-being of minors;
  • regards or promotes in any way any escort services, prostitution, or sexual acts;
  • regards the creation, publication, or distribution of “fake news”, “hoax news”, Deep Fake content or similar content;
  • is not yours or where you do not have a right to make available under Applicable Law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements);
  • makes improper use of our support services or may lead to submitting false reports of abuse or misconduct;
  • contains a virus or other harmful component, or otherwise tampers with, impairs or damages the Service or any connected network, or otherwise interferes with any person or entity's use;
  • acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms”);
  • is antisocial, disruptive, or destructive, including "flaming", "spamming", "flooding", "trolling", as those terms are commonly understood and used on the Internet.

By uploading User Content, you understand and acknowledge that you are solely responsible and warrant that the User Content and your communication thereof conform to the requirements of this Agreement that you own or have the necessary authority, rights, licenses, power, consents and permissions, without the need for any permission form or payment to any other person or entity, to exploit, use, license, reproduce, modify, adapt, publish, create derivative works from, distribute, derive revenue or other remuneration from, communicate to the public, perform and display the User Content (in whole or in part) worldwide and/or to incorporate it in other works of any form, media or technology, and any other manners considered by this Agreement.

You retain all ownership rights in any User Content you post, submit or send. To the extent permitted by Applicable Laws as defined in Section XIV, you grant us a royalty-free, sub-licensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, publicly perform, publicly display, and make derivative works of all such User Content and your name, image, and/or likeness as contained in your User Content, in whole or in part, and in any form, media, or technology, whether now known or hereafter developed, for use in connection with the Website, Platform and Services, including, without limitation, for promoting and redistributing part or all of the Website (and derivative works thereof), Platform and Services in any media formats and through any media channels. You also hereby grant each User a non-exclusive license to access your User Content through the Website, Platform and Services and to use, reproduce, distribute, and display such User Content to the extent permitted through the normal functionality of the Website, Platform and Services and subject to all applicable confidentiality and other provisions of the Agreement, our Privacy Policy, and Applicable Laws as defined in Section XIV.

We have no obligation to pre-screen User Content, although HirerPro reserves the right in its sole discretion to pre-screen, refuse or remove any User Content. We reserve the right, but disclaim any obligation or responsibility, to refuse to post or remove any User Content from the Website, Platform and Services that violates this Agreement when we facilitate compliance with Applicable Laws as defined in Section XIV, including, for example, compliance with a court order, or help to protect the safety or security of any person or property, including the Services. Moreover, we retain all rights to remove User Content at any time for any reason or no reason whatsoever.

You acknowledge and agree that by posting User Content you are responsible, and not HirerPro, for any User Content including any harm caused to you, another individual, or a third party by such User Content. You will indemnify, defend, and hold harmless HirerPro and its personnel from any and all claims, damages, liabilities, costs, losses, and expenses (including, but not limited to, reasonable attorneys’ fees and all related costs and expenses) arising from or relating to any claim, suit, proceeding, demand, or action brought by you or a third party or other individual against us relating to or arising out of any User Content you post.

HirerPro and/or the entities associated with HirerPro reserve the right to refuse or remove images or texts posted by the User on the Website and the Platform or through the Website and the Platform, and which are displayed or available to other people or the public.

We cannot and do not assure you that other Users are or will be complying with all or any of the provisions of this Agreement.

Any violation of these limitations or other provisions of this Agreement may lead to the blocking of the User's access to the Platform and/or Services and/or the suspension or closure of the User account, as well as to the notification of the legal authorities for the application of contravention or criminal sanctions. The same provisions apply to any attempt to do so. 

DATA PROTECTION

HirerPro is committed to conducting business in full compliance and in accordance with REGULATION (EU) 2016/679 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (“General Data Protection Regulation” or “GDPR”) applicable data privacy and protection laws and regulations.

Detailed information about how we process personal data can be found in our Privacy Policy, while the information regarding our use of cookies can be found in our Cookie Policy.

The processing of personal data by HirerPro as Data Processor, on behalf of the Hiring Organization or the Recruitment Supplier, is governed by the provisions of the Data Processing Agreement.

This Agreement also includes the Data Processing Agreement, Privacy Policy, Cookie Policy, as well as all other policies, rules, guidelines and terms set for the services available on the Platform, as provided for in this Agreement and referred to in this Agreement which are incorporated herein by reference.

LINKS TO THIRD PARTY WEBSITES

HirerPro may include links to websites or communication channels of third parties that are controlled and/or maintained by other persons. Any link to other websites or communication channels is not an endorsement of them, and you agree that HirerPro and any of HirerPro collaborators and associated firms, including any employee, director or administrator thereof, shall not be held responsible for the content or availability of any of those websites.

DISCLAIMER AND LIMITATION OF LIABILITY

The Website, the Platform and the Services are provided ""AS IS" and without warranties of any kind. To the fullest extent permissible pursuant to Applicable Laws as defined by Section XIV, we disclaim all warranties, express or implied, including accuracy, completeness, availability, security, compatibility and noninfringement. We do not warrant that the Website, the Platform and the Services will be error-free, that the Website, the Platform and the Services is/are fit for your purposes, that access thereto will be uninterrupted, that defects will be corrected, that the Website, the Platform and the Services are free of viruses or other harmful components, or that the Website, the Platform and the Services are fully secure of breach. You hereby irrevocably waive any claim against us with respect to any information you provide to Third-Party Websites (including credit card and other personal information).

Under no circumstances, including negligence, shall we be liable to you or any other person or entity for any direct, indirect, incidental, special or consequential damages that result from the use of, or the inability to use, the Website, the Platform and the Services, or the conduct or actions, whether online or offline, of any user of the Website, the Platform and the Services or any other person or entity. In no event shall our total liability to you for all damages, losses and causes of action whether in contract, tort (including negligence) or otherwise exceed the amount paid by you, if any, for accessing or participating in any activity related to the Website, the Platform and the Services. Moreover, under no circumstances shall we be held liable for any delay or failure in performance resulting directly or indirectly from an act of force majeure or causes beyond our reasonable control.

You hereby agree to take full responsibility and utterly indemnify and hold harmless HirerPro for any cost, expense, loss, damages, claims, demands and liabilities, including reasonable attorneys’ fees and expenses howsoever caused that may arise in relation to (1) your uploading, posting, downloading or accessing of any content, including User Content, material and/or other information; (2) any use of the Website, the Platform and the Services; (3) breach of this Agreement; (4) your violation of the rights of another user or a third party, including but not limited to their intellectual property rights; or (5) any overt harmful act toward any other user of the Website, the Platform and the Services with whom you have connected via HirerPro. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

You are solely responsible for all your communications and interactions with other individuals. You understand that we cannot and do not assure that other users are or will be complying with all or any of the provisions of these terms.

The limitations, exclusions and disclaimers in this section and elsewhere in these terms apply to the maximum extent permitted by Applicable Laws as defined in section XIV.

We make no claim that the Website, the Platform and the Services are appropriate or available for use in any particular location. Those who choose to access and use the Website, the Platform and the Services do so on their own initiative, agree to this Agreement and are responsible for compliance with all Applicable Laws as defined in section XIV, including any applicable local laws to that Visitor or User.

We reserve the right, but do not assume the obligation, to investigate any potential violation of this Agreement and to remove, disable access to, or modify any user accounts and/or User Content from the Website, the Platform and the Services. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of this Agreement.

Legal relationships created through the provision of Services of any kind are created exclusively between the Users. The Users, as the beneficiaries of the services among the Stakeholders, are the only ones responsible for the way in which the contractual relations concluded between them are carried out, without involving HirerPro and/or any entity associated with the creation and/or development of the Website, the Platform and the Services, otherwise than it results expressly from these conditions.

HirerPro and/or other entities associated with them, are not responsible for any consequences that may arise from the relations established between the Users, as independent parties. Therefore, the Users expressly agree that they cannot demand from HirerPro any compensation, sums or consideration of any kind (including damages) for the consequences resulting from their relations or communications with the counterparty of the contract of provision of services nor for any other effects resulting from the contractual relations established between the Users.

HirerPro will not monitor, record or edit audio sessions or communications established between the Users and assumes no obligation to do so.

HirerPro is not responsible for any consequences that are generated by the fault/conduct of the Users, such as the provision of incorrect/inappropriate data or the use of incompatible devices at the time of visiting and using the Website, the Platform and the Services.

HirerPro is not responsible for the consequences resulting from the violation by the Users of the applicable regulations or by using the Website, the Platform and the Services in any way.

HirerPro shall not be liable in any way for failure to provide or contract services for any reason.

HirerPro or any companies associated with HirerPro will not be liable under any circumstances for any direct or indirect related losses and for any damages resulting from (i) the incompatibility of the User's device with the Website, the Platform and the Services; (ii) the costs borne by the User for accessing and using the Website, the Platform and the Services; (iii) the transmission by the User of data and information for contracting the Services available through the Platform; (iv) blocking the Website, the Platform and the Services or some of their functionalities as a result of technical malfunctions or errors occurring on the Website, the Platform and the Services.

INDEMNIFICATION CAUSED BY USER'S FAULT

By accessing and using the Website, the Platform and the Services, the User agrees to indemnify and hold harmless HirerPro, and/or its associated persons or entities, including any employee, director or administrator thereof, in connection with any breach of this Agreement, as well as in relation to any claim or demand against HirerPro and/or persons or entities associated with it, including their employees, directors or administrators made by a third party and arising from the User's improper access or use of the Website, the Platform and the Services and/or from the transmission of any content transmitted through the Website, the Platform and the Services, including without limitation all claims, actions, proceedings, losses, damages, costs, expenses (including reasonable costs and legal expenses), howsoever incurred or borne by to HirerPro or by the persons or entities associated with the Website, the Platform or the Services.

APPLICABLE LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws and regulations in force in Belgium, and any disputes or litigation between the parties in connection therewith shall be resolved by the competent courts in Brussels, Belgium.

SEVERABILITY

If any clause of this Agreement is declared by a competent court to be invalid, illegal, void, or unenforceable for any reason, that clause (any term/condition) will be removed and the rest of the clauses (terms and conditions) will remain in effect, continuing to produce effects, being binding and enforceable. In the event of such nullity, the annulled clauses, terms and/or conditions will be replaced with others/others appropriate within 10 (ten) working days from the date on which the court ruling declaring nullity has legal effect.

TERMINATION OF AGREEMENT

Either party to this Agreement may terminate this Agreement without cause. Termination of the Agreement is effective immediately upon notice to the other party or by account closure, but only when there are no outstanding service commitments, unpaid amounts or balances due under this Agreement.
